Milan-based software house Hyphen-Group has sold Chalco Technologies, the spin-off holding its core Chalco content-management platform, to Canadian investment firm Valsoft Corp. Financial terms were not disclosed. Valsoft aims to double the unit's sales within five years on a base of 14 million euros in group revenues for 2025, up 10 percent versus 2024.

Chalco, introduced in 1998, supplies fashion and luxury brands with an integrated suite for managing and distributing product digital content across product development, sales, marketing, e-commerce and archives. Current users include Ferragamo, Corneliani, Guess and brands within the Max Mara Fashion Group. Fashion accounts for roughly 60 percent of the client base.

What does the deal cover?

The transaction includes only the software business. Hyphen-Group retains Hyphen-Integration, which continues to deliver consulting, implementation and support services, plus the Hyphen Shooting Line and Hyphen-Media units for photographic, 3D and CGI production and post-production.

Stefano Righetti, Hyphen-Group's current chief executive, takes the same role at the newco. Andrea Turazza, his business partner, becomes chief executive of Hyphen-Integration. The two founded the company in 1998, acquiring the Chalco trademark from a distressed software firm and rebuilding it as a content-management hub.

Why Valsoft?

"The Hyphen team has built with Chalco a solid product in the field of content operations and a loyal client base in Italy and Switzerland in the luxury and retail sectors: exactly the kind of team and technology we choose to support with a long-term horizon," said Aidin Mohsenin, investment partner at Valsoft Corp.

Valsoft specializes in acquiring and growing software companies with critical market positions. Over more than a decade it has assembled about 150 companies across more than 20 sectors and 20 countries, serving 20,000 clients in total.

Righetti framed the portfolio as commercial infrastructure. The 150 companies and 20,000 clients represent a lead-generation opportunity that would have been costly to replicate independently, he said, adding that Valsoft's acquisition pace of 1.5 companies a month and its buy-and-hold model signal financial strength and a capacity to keep investing.

What is the growth plan?

The strategy calls for geographic and sector expansion. Chalco Technologies will target food and beverage, beauty, design and automotive alongside its fashion core, and plans to operate in eight countries within five years, up from Italy and Switzerland today.

France is an obvious target given its concentration of luxury houses, Righetti said, with the United Kingdom also under consideration. Each new market will involve local partners for distribution and implementation, with the first agreements expected in the second half of 2027. In Italy and Switzerland, Hyphen-Integration continues to run operations. Righetti did not rule out acquisitions as an expansion route.

What is the product logic?

Righetti positioned the platform as infrastructure for digital product creation. "Alongside the supply chain for the physical product, there is a supply chain for producing that same product digitally," he said, noting that this thesis opened the door to luxury clients during the first wave of digitalization.

Since 2010, and more markedly from 2015, Hyphen has marketed "digital product identities": centralized toolkits covering photographic production, 3D product development, catalogue creation, hybrid physical-digital showrooms, and window and in-store display materials. The company also builds "digital factories" — workflows that standardize digital-asset production, break down operational silos and align departments.

Recalling the founding insight, Righetti said: "Our small insight was that, in the future, companies would become publishers of their own content. We began working on the life cycle of digital content."

The newco will also pursue implementation of generative AI capabilities under Valsoft ownership, with the backing company's international network deployed to accelerate growth.
